QR Staff is licensed to You (End-User) by Bizhelper Software Private Limited, located at B-44, Sector B, Indrapuri, Bhopal, Madhya Pradesh, India 462022, and registered at A-19, Girnar Valley, Ayodhya Bypass Road, Bhopal, Madhya Pradesh, India 462037 (hereinafter referred to as the “Licensor”), for use only under the terms of this License Agreement.

By accessing or using the Application — whether through Google Play, Apple App Store, the web platform (https://web.qrstaff.in), or any other authorized app store or distribution platform — and any updates thereto (as permitted by this License Agreement), You indicate that You have read, understood, and agree to be bound by all the terms and conditions of this License Agreement.

The parties to this License Agreement acknowledge that Apple Inc., Google LLC, and any other third-party app store or platform (including but not limited to the Indus App Store, Samsung Galaxy Store, and other regional or global distribution platforms) are not parties to this License Agreement and are not bound by any provisions or obligations with regard to the Application, including but not limited to warranty, liability, maintenance, or support thereof. Bizhelper Software Private Limited, and not Apple, Google, or any other app store or web service provider, is solely responsible for the licensed Application and all content and services made available through it.

This License Agreement does not include or provide for any usage rules that conflict with the latest terms of service or policies of any app store or distribution platform through which the Application is made available, including but not limited to the Apple App Store, Google Play Store, Indus App Store, Samsung Galaxy Store, or any other authorized marketplace. Bizhelper Software Private Limited acknowledges that it has reviewed such terms and confirms that this License Agreement does not conflict with any of them.

Users under 18 must obtain consent from a parent or guardian before using the Application.

All rights not expressly granted to You are reserved.

1. THE APPLICATION

QR Staff (hereinafter referred to as the “Application”) is a software product developed by Bizhelper Software Private Limited to help businesses manage staff attendance, payroll, and related workforce operations efficiently through its mobile and web platforms.

The Application is available for Android, iOS, and web users, offering tools for attendance tracking, leave and shift management, payroll calculation, and other HR-related functionalities.

In addition to staff management, the Application also provides:

• An e-visiting card feature that enables users to create and share their digital business cards.
   

• A Festival and Motivational Post Sharing feature, allowing users to share personalized greetings and branded posts that include their Name, Company Name, Designation, Contact Details, and Profile Picture or Company Logo.

2. SCOPE OF LICENSE

2.1 Grant of License
The Licensor grants You (the End User) a limited, non-exclusive, non-transferable, and revocable license to install and use the Application on devices that You own or control, and to access the web version of the Application, strictly in accordance with the terms of this License Agreement.

2.2 Modifications to License Terms
The Licensor reserves the right to modify, update, or amend the terms and conditions of this License Agreement at any time. Continued use of the Application after any such changes constitutes Your acceptance of the updated terms.

2.3 Restrictions
You may not:

• Distribute, resell, lease, or sublicense the Application to any third party.

• Modify, decompile, reverse-engineer, or attempt to derive the source code of the Application.

• Use the Application in any manner that violates applicable laws, regulations, or third-party rights.

• You may not use the Application for service bureau purposes or to operate a competing product.
   

2.4 Ownership
All rights, title, and interest in and to the Application (including all intellectual property rights) remain the exclusive property of Bizhelper Software Private Limited.

3. TECHNICAL REQUIREMENTS

3.1 The Application requires a compatible device, an active internet connection, and sufficient storage space for proper installation and operation. Specific technical requirements may vary depending on the platform (Android, iOS, or web).

3.2 The Licensor reserves the right to modify, update, or improve the technical specifications, system requirements, or supported platforms of the Application at any time, as it deems appropriate, without prior notice.

3.3 Users are responsible for ensuring that their device and internet connection meet the minimum requirements necessary to use the Application and receive updates.

3.4 The availability and performance of certain features may vary depending on the device model, operating system version, or browser compatibility in the case of the web application.

3.5 Updates: You acknowledge that updates may be required to maintain compatibility and functionality.

4. MAINTENANCE AND SUPPORT

4.1 Responsibility
The Licensor (Bizhelper Software Private Limited) is solely responsible for providing maintenance, updates, and support services for the licensed Application across all platforms, including the Google Play Store, Apple App Store, web platform, and other authorized distribution channels.

4.2 Support Policy Reference
Details regarding service levels, response times, maintenance schedules, and user support procedures are governed by the QR Staff Service Level Agreement (SLA) and Support Policy, available on the official website or within the Application. Users are encouraged to review this document for complete information on support coverage and escalation procedures.

4.3 Third-Party Store Disclaimer
Bizhelper Software Private Limited and the End-User acknowledge that Apple Inc., Google LLC, and any other third-party app store or platform provider have no responsibility or obligation to provide any maintenance or support services with respect to the licensed Application.

5. USE OF DATA

5.1 You acknowledge and agree that the Licensor (Bizhelper Software Private Limited) may collect, store, process, and access certain data related to Your use of the Application, including personal information and Application usage details, as necessary to provide, improve, and maintain the services offered through QR Staff.

5.2 Any collection and use of Your data by the Licensor will be carried out in accordance with applicable data protection laws and the QR Staff Privacy Policy, available at: https://qrstaff.in/privacy-policy.html.

5.3 By using the Application, You consent to the processing of Your information as described in the Privacy Policy and agree that certain aggregated or anonymized data may be used by the Licensor for analytics, feature improvements, or service optimization.

5.4 The Licensor may access or adjust Your account information, stored content, or configuration settings when necessary for technical support, troubleshooting, or to ensure compliance with this License Agreement and related policies. Access to user data is logged and restricted to authorized personnel only.

6. USER GENERATED CONTRIBUTIONS

6.1 The Application does not allow users to upload or publish creative content, images, or media files for public display. However, it provides the ability to personalize and share pre-designed templates (such as festival greetings, motivational posts, or digital visiting cards) by adding personal or business information — including Name, Company Name, Designation, Contact Details, and Profile Picture or Company Logo — before sharing them externally on social media or other platforms.

6.2 In certain cases, employees of client organizations using QR Staff may be required by their employer to upload personal or business-related documents, including but not limited to Aadhaar, PAN, address proof, certificates, or identification documents. These uploads are performed under the instructions and responsibility of the respective employer or organization (the Data Controller).

6.3 Bizhelper Software Private Limited (the Licensor) acts only as a data processor, storing and processing such employee information securely on behalf of the client organization, in accordance with the QR Staff Privacy Policy and applicable data protection laws.

6.4 The Licensor does not use, share, or disclose such employee-uploaded documents for any purpose other than providing the services requested by the client organization or as required by law.

6.5 All information, templates, and documents provided or uploaded by users (collectively referred to as “User Data”) remain subject to this License Agreement and the QR Staff Privacy Policy, available at https://qrstaff.in/privacy-policy.html.

6.6 You represent and warrant that:

1. The information and documents uploaded are accurate, lawful, and authorized by the respective organization or individual.
    

2. You will not upload or share any false, misleading, or unauthorized documents.
    

3. You will not misuse the Application to store or distribute content unrelated to legitimate employment or business purposes.
    

6.7 The Licensor reserves the right to restrict, remove, or suspend access to any content or account found in violation of these terms, or upon instruction from the relevant organization.

7. CONTRIBUTION LICENSE

7.1 You agree that we may access, store, process, and use any information and personal data that you provide in accordance with our Privacy Policy and your choices (including any in-app settings).

7.2 By submitting suggestions, ideas, or feedback regarding the Application, you agree that we may use and share such feedback for any purpose, including improvement of the Application and related services, without any compensation or obligation to you.

7.3 You retain full ownership of all information, documents, and materials you upload (including but not limited to business certificates, Aadhaar cards, or any employee verification documents). These materials are uploaded voluntarily by you or your company’s authorized personnel and remain your property.

7.4 We do not claim ownership of your Contributions; however, by uploading or sharing any material within the Application, you grant us a limited, non-exclusive right to store, process, and display such material solely for the purpose of providing the Application’s services.

7.5 You are solely responsible for ensuring that any Contributions you upload or share comply with applicable laws, do not infringe on third-party rights, and are submitted with proper authorization. We are not responsible for any content or documents uploaded by you or your organization. Bizhelper Software Private Limited reserves the right to remove or disable access to any Contribution that violates these terms or applicable laws.

8. LIABILITY

8.1 The Licensor shall not be held accountable or responsible for any damages arising from your failure to comply with the terms and conditions outlined in Section 2 of this Agreement.

8.2 You acknowledge and agree that the Licensor shall not be responsible for any data loss, corruption, or deletion that may occur while using the Application. The Application does not currently provide any built-in data backup or restore feature. Users are encouraged to maintain independent copies of important information as required by their business operations.

8.3 Any unauthorized modification, reverse engineering, or manipulation of the Application may result in data loss or termination of your access to the licensed Application. In such cases, the Licensor shall bear no liability for any resulting damages or data loss.

8.4 Limitation of Liability:
To the maximum extent permitted by applicable law, in no event shall Bizhelper Software Private Limited, its directors, employees, agents, partners, or affiliates be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — including but not limited to loss of profits, data, goodwill, business interruption, or other intangible losses — resulting from:
(i) your access to or use of, or inability to access or use, the Application;
(ii) any unauthorized access to or use of our servers and/or any personal information stored therein;
(iii) any bugs, viruses, trojan horses, or similar that may be transmitted to or through the Application by any third party; or
(iv) any other matter relating to the Application.

8.5 In any event, the total liability of Bizhelper Software Private Limited for any claim arising out of or relating to this License Agreement or your use of the Application shall not exceed the total amount paid by you (if any) for the licensed Application.

8.6 Bizhelper Software Private Limited and the End-User acknowledge that Apple, Google, Indus Appstore, or any other app distribution platform provider shall not be responsible for addressing any claims of the End-User or any third party relating to the licensed Application or the End-User’s possession and/or use of that Application — including, but not limited to, product liability claims, claims that the Application fails to conform to any applicable legal or regulatory requirement, or claims arising under consumer protection or similar legislation. Nothing in this Agreement limits liability for fraud, willful misconduct, or matters that cannot be excluded under applicable law.

9. WARRANTY

9.1 Malware-Free Guarantee:
The Licensor warrants that, at the time of initial download or installation, the Application is free from any known spyware, trojan horses, viruses, or other malicious software. The Licensor further warrants that the Application, when used under normal conditions and in accordance with the accompanying documentation, will perform substantially as described.

9.2 Exclusions from Warranty:
No warranty is provided for the Application if it:

• is used on incompatible or unsupported devices,
   

• has been modified, altered, or tampered with in any unauthorized manner,
   

• has been handled, installed, or operated negligently or contrary to provided instructions,
   

• has been combined or used with hardware, software, or accessories not approved by the Licensor, or
   

• has been affected by external factors beyond the reasonable control of Bizhelper Software Private Limited, including but not limited to internet connectivity issues, system errors, or device malfunctions.
   

9.3 Inspection and Notification:
You are responsible for inspecting the Application immediately after installation and notifying Bizhelper Software Private Limited of any defects or issues without undue delay. Reports of defects must be submitted via the contact email provided in the Product Claims section. Defect reports received within fifteen (15) days of discovery will be reviewed and investigated.

9.4 Remedy:
If a defect is confirmed, Bizhelper Software Private Limited reserves the right to, at its discretion, either (a) correct the defect through an update or patch, or (b) provide a replacement or substitute version of the Application at no additional cost to the End-User.

9.5 App Store Operator Limitation:
In the event that the Application fails to conform to any applicable warranty, You may notify the respective App Store Operator (such as Apple, Google, or Indus Appstore), and, where applicable, request a refund of the purchase price. To the maximum extent permitted by applicable law, the App Store Operator shall have no further warranty obligations with respect to the Application, nor be responsible for any other claims, damages, or liabilities arising from any failure to conform to this warranty.

9.6 Warranty Period:
If the End-User is an entrepreneur or business entity, any claims based on defects shall expire twelve (12) months after the Application was first made available. For individual consumers, statutory limitation periods under applicable consumer protection laws shall apply.

10. PRODUCT CLAIMS

Bizhelper Software Private Limited and the End-User acknowledge that Bizhelper Software Private Limited, and not Apple Inc., Google LLC, Indus Appstore, Samsung Electronics Co., Ltd., or any other app distribution or web platform operator, is solely responsible for addressing any claims by the End-User or any third party relating to the licensed Application or the End-User’s possession and/or use of that licensed Application, including but not limited to:

(i) product liability claims;

(ii) any claim that the licensed Application fails to conform to any applicable legal or regulatory requirement; and

(iii) claims arising under consumer protection, data protection, privacy, or similar legislation, including but not limited to those related to the Application’s collection, processing, or storage of user data.

Bizhelper Software Private Limited shall handle such claims in accordance with applicable law and its published policies, including the Privacy Policy and the SLA & Support Policy. 

11. LEGAL COMPLIANCE

You represent and warrant that:

(a) You are not located in a country that is subject to a United States Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country;

(b) You are not listed on any U.S. Government list of prohibited or restricted parties; and

(c) Your access to and use of the Application does not violate any applicable laws or regulations of India, the United States, or any other jurisdiction in which You use the Application.

You further agree to comply with all applicable export control and trade sanction laws and regulations in connection with your use of the Application and any related services.

13. TERMINATION

13.1 This License Agreement is effective until terminated by either You or Bizhelper Software Private Limited.

13.2 You may terminate this License at any time by permanently deleting the Application and all copies thereof from your devices and ceasing all access or use of the Application, including the web platform.

13.3 Bizhelper Software Private Limited may, at its sole discretion, suspend or terminate this License Agreement and your access to the Application at any time, with or without notice, if You fail to comply with any of the terms or conditions of this License Agreement, misuse the Application, or engage in conduct that may cause harm to Bizhelper Software Private Limited, its users, or third parties.

13.4 Upon termination of this License for any reason, You must immediately cease all use of the Application and destroy or delete all copies of the Application, whether full or partial, in your possession or control.

13.5 Termination of this License does not limit any rights or remedies available to Bizhelper Software Private Limited under applicable law or this Agreement. Certain provisions of this Agreement that by their nature should survive termination (including, but not limited to, limitations of liability, warranties, and intellectual property rights) shall continue to remain in effect. Upon termination, data retention and deletion will be handled in accordance with the QR Staff Privacy Policy.

14. THIRD-PARTY TERMS OF AGREEMENTS AND BENEFICIARY

14.1 Bizhelper Software Private Limited represents and warrants that it will comply with all applicable third-party terms of agreement and platform policies when using or distributing the licensed Application, including but not limited to those of Apple Inc., Google LLC, Indus Appstore, Samsung Electronics Co., Ltd., and any other authorized app distribution or web service provider.

14.2 You must also comply with all applicable third-party terms of agreement when using the licensed Application, including but not limited to the terms of your mobile network provider, device manufacturer, or any app store or platform from which the Application was obtained or accessed.

14.3 In accordance with Section 9 of the Instructions for Minimum Terms of Developer’s End-User License Agreement, Apple Inc. and Apple’s subsidiaries shall be third-party beneficiaries of this End-User License Agreement. Upon your acceptance of the terms and conditions of this License Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this License Agreement against you as a third-party beneficiary thereof.

15. INTELLECTUAL PROPERTY RIGHTS

15.1 Bizhelper Software Private Limited and the End-User acknowledge that, in the event of any third-party claim alleging that the licensed Application or the End-User’s possession or use of the licensed Application infringes upon a third party’s intellectual property rights, Bizhelper Software Private Limited, and not Apple Inc., Google LLC, Indus Appstore, Samsung Electronics Co., Ltd., or any other app distribution or web platform operator, shall be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

15.2 All intellectual property rights in and to the Application — including but not limited to trademarks, logos, names, designs, text, code, user interfaces, databases, and all related documentation — are and shall remain the exclusive property of Bizhelper Software Private Limited or its licensors.

15.3 No rights or licenses are granted to You other than those expressly stated in this License Agreement. Any unauthorized use, copying, modification, or distribution of the Application or its components is strictly prohibited and may result in legal action. You may not remove or obscure any proprietary notices (such as copyright or trademark notices) from the Application.

16. APPLICABLE LAW

16.1 This License Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles or provisions.

16.2 In the event of any dispute or claim arising out of or in connection with this License Agreement or the use of the Application, the parties agree that such dispute shall be subject to the exclusive jurisdiction of the courts of Bhopal, Madhya Pradesh, India.

16.3 The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to this Agreement.

16.4 Any dispute shall first be resolved through good-faith negotiations or mediation before being brought before the courts of Bhopal, Madhya Pradesh. The parties agree to attempt to resolve disputes amicably through mediation before seeking judicial remedies.

17. MISCELLANEOUS

17.1 Severability:
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent of the parties.

17.2 Entire Agreement and Amendments:
This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior agreements, whether written or oral. Any amendments or modifications to this Agreement shall be valid only if made in writing and duly signed or acknowledged by Bizhelper Software Private Limited.

17.3 Waiver:
Failure or delay by Bizhelper Software Private Limited in exercising any right or remedy under this Agreement shall not constitute a waiver thereof. Any waiver of any provision of this Agreement will be effective only if made in writing.
